1.  Acceptance of these terms

These Website Terms of Use (“Terms”) govern access to and use of noxgov.com (the “Site”), operated by NOX Systems LLC (“NOX Systems,” “NOX,” “we,” “us,” or “our”). By accessing or using the Site, you acknowledge these Terms. If you do not agree, do not use the Site.

Our collection and handling of personal information through the Site is described in our Privacy Policy.

2.  Website purpose

The Site provides general information about NOX Systems, its capabilities, and the types of work it may perform. Site content is provided for informational purposes only. It is not professional advice, a proposal, a binding offer, a warranty, or a commitment to provide any product, service, staffing resource, certification, security outcome, or compliance result.

Capabilities, technologies, frameworks, availability, and other Site information may change without notice. You should not rely on the Site as the sole basis for an operational, security, procurement, legal, regulatory, or compliance decision.

3.  Separate service agreements

Visiting the Site, contacting NOX, or discussing a possible engagement does not create a customer, contractor, subcontractor, fiduciary, advisory, confidential, or other professional relationship. Any work performed by NOX must be governed by a separately executed agreement, such as a master services agreement, subcontract, purchase order, or statement of work.

If these Terms conflict with a written agreement signed by NOX and a customer or business partner, the signed agreement controls with respect to the services covered by that agreement.

4.  Acceptable use

You may use the Site only for lawful purposes. You may not:

• Attempt to gain unauthorized access to the Site, its hosting environment, accounts, systems, or networks;
• Probe, scan, test, exploit, or circumvent any security or authentication measure without NOX’s prior written authorization;
• Introduce malware, harmful code, automated abuse, denial-of-service traffic, or other disruptive material;
• Use automated means to scrape, harvest, copy, or extract Site content in a manner that burdens the Site or violates law or third-party rights;
• Impersonate NOX or misrepresent an affiliation with NOX, a customer, a government agency, or another organization; or
• Use the Site in connection with fraud, unlawful activity, or infringement of another person’s rights.

NOX may restrict or block access reasonably believed to threaten the Site, its users, or its infrastructure.

5.  Communications and submissions

You are responsible for information you submit through the Site and represent that you are authorized to provide it. Contact-form and email communications are not treated as classified, privileged, or confidential merely because they are sent to NOX.

Talent Network submissions

Joining the NOX Talent Network expresses interest in potential future opportunities. It is not an application to a specific opening and does not guarantee an interview, offer, subcontract, assignment, security clearance, or other engagement. You retain ownership of your resume and grant NOX permission to review, securely store, search, and use the submission to evaluate possible opportunities as described in the Privacy Policy.

NOX may contact you before sharing your profile with a customer, prime contractor, or teaming partner. We do not use Talent Network profiles to train artificial-intelligence models or make automated hiring decisions. You may request an update or removal by contacting careers@noxgov.com, subject to applicable recordkeeping obligations.

6.  Intellectual property

Except for material identified as belonging to the United States Government or another third party, the Site and its design, text, graphics, logos, marks, software, and other content are owned by or licensed to NOX Systems and are protected by applicable intellectual property laws.

You may view and print limited Site content for your own lawful, internal, and noncommercial evaluation. No other license is granted. You may not reproduce, modify, distribute, publish, sell, sublicense, remove attribution from, or create derivative works from Site content without the permission of the applicable rights holder.

7.  Government references and visual information

References to government agencies, military organizations, standards, frameworks, contract vehicles, technologies, vendors, or programs are descriptive only. They do not imply endorsement, sponsorship, affiliation, certification, contract award, or approval of NOX Systems.

The appearance of United States Government visual information does not imply or constitute government endorsement. Government and third-party materials remain subject to any notices, restrictions, attribution requirements, and rights applicable to those materials.

8.  Third-party websites

The Site may contain links to websites or resources operated by other parties. Links are provided for convenience and do not imply endorsement. NOX does not control and is not responsible for third-party content, availability, security, or privacy practices.

9.  Disclaimers

To the fullest extent permitted by law, the Site is provided “as is” and “as available.” NOX disclaims all express, implied, and statutory warranties relating to the Site, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, noninfringement, availability, security, and freedom from harmful components.

NOX does not warrant that the Site will be uninterrupted, error-free, current, or suitable for any particular operational or compliance requirement. Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

10.  Limitation of liability

To the fullest extent permitted by law, NOX Systems and its members, managers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, loss of goodwill, business interruption, or security-related losses arising from or connected with the Site or reliance on Site content.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

11.  Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. To the extent a dispute is not governed by a separate written agreement and venue may lawfully be specified, the state and federal courts located in Bexar County, Texas will have exclusive jurisdiction.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.

12.  Changes and contact

We may update these Terms from time to time. The effective date at the top identifies the current version. Continued use of the Site after an update is subject to the revised Terms.
